Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you and 1585266 B.C. LTD. ("Ritual", "we", "us", "our"), a company incorporated in British Columbia, Canada, governing your access to and use of the Ritual platform, website, APIs, embedded widgets, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.

2. Who these Terms apply to

These Terms apply to two categories of users:

  • Studio Operators — businesses that sign up for the Ritual dashboard to manage bookings, customers, payments, memberships, and retail sales.
  • Studio Customers — individuals who book services, purchase credit packs, sign up for memberships, or make retail purchases at a studio that uses Ritual.

Some sections apply only to one category; those sections say so explicitly.

3. Eligibility

You must be at least 18 years old to create a Studio Operator account. Studio Customers must be at least 13 years old (or older where required by local law). If you are under the age of majority in your jurisdiction, you may only use the Service with the consent and supervision of a parent or legal guardian.

The Service is currently offered only to users located in Canada and the United States. By using the Service, you represent that you are located in one of these countries.

4. Accounts

4.1 Account creation

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4.2 Account security

You agree to notify us immediately at support@getritual.io of any unauthorized access to your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

4.3 Authentication

We use magic-link email authentication for Studio Customers and email-plus-password authentication for Studio Operators and platform administrators. You are responsible for keeping your email account secure, as access to your email gives access to your Ritual account.

5. The Service

5.1 Studio Operator dashboard (SaaS)

Ritual provides Studio Operators with a web-based dashboard to:

  • Configure services, schedules, pricing, credit packs, and memberships
  • Manage customer profiles, bookings, and attendance
  • Process payments via Stripe Connect
  • Sell retail products through point-of-sale
  • Configure and embed a customer-facing booking widget on their own website
  • Send transactional notifications to their customers

5.2 Embeddable booking widget

The widget allows Studio Customers to browse services, create accounts, book classes, purchase credit packs, sign agreements, and manage their memberships. The widget is embedded on the Studio Operator's website and branded with their identity.

5.3 Service availability

We target high availability but do not guarantee uninterrupted service. We may from time to time perform maintenance, deploy updates, or experience downtime due to circumstances within or beyond our control. We will use reasonable efforts to provide advance notice of planned maintenance.

6. Fees and payments

6.1 Studio Operator fees

Use of the dashboard is subject to the subscription plan you choose. Applicable fees, billing frequency, and any trial terms will be communicated to you at sign-up and are visible in your dashboard. By signing up for a paid plan, you authorize us to charge the payment method on file on a recurring basis until you cancel.

6.2 Platform fee on transactions

Ritual charges a platform fee on transactions processed through the Service. The fee is collected automatically via Stripe Connect before funds are disbursed to the Studio Operator. The current rate applicable to your account is shown in your dashboard and may be updated from time to time on notice to you.

6.3 Stripe Connect

Payments are processed by Stripe Payments Canada, Ltd. and/or Stripe, Inc. ("Stripe"). To accept payments through the Service, Studio Operators must:

  • Create and maintain a Stripe Connect account
  • Agree to the Stripe Connected Account Agreement and Stripe Services Agreement
  • Provide accurate business and banking information to Stripe

Stripe — not Ritual — is responsible for processing payments, disbursing funds, handling chargebacks, and complying with applicable payment card industry standards. Your relationship with Stripe is governed by Stripe's terms; we are not a party to those terms and have no control over Stripe's decisions.

6.4 Refunds between studios and customers

Refunds on services, credit packs, and memberships are a matter between the Studio Operator and the Studio Customer, subject to the Studio Operator's own refund and cancellation policy. Ritual does not mediate refund disputes between studios and their customers.

6.5 Refunds on Ritual subscription fees

Subscription fees paid by Studio Operators to Ritual are non-refundable except where required by law. If you cancel your subscription, you retain access until the end of the current billing period.

6.6 Taxes

You are responsible for determining and paying any taxes applicable to your use of the Service, your transactions with your customers, and your business operations, including sales tax, GST, HST, PST, and income tax.

7. Your content and data

7.1 Ownership

  • Studio Operators retain ownership of all data they upload or create in the Service, including customer records, schedules, services, waivers, and business settings ("Operator Data").
  • Studio Customers retain ownership of information they provide about themselves.
  • Ritual retains ownership of the Service itself, including all software, designs, logos, trademarks, and documentation.

7.2 License to Ritual

You grant Ritual a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your content solely to the extent necessary to provide the Service. This license ends when you delete the content or close your account, except that we may retain content as required for legal compliance, backups, and fraud prevention.

7.3 Processor relationship

With respect to personal information about Studio Customers, the Studio Operator acts as the data controller and Ritual acts as the data processor. We process Studio Customer personal information only on the Studio Operator's documented instructions (as implemented by the Service) and in accordance with our Privacy Policy.

8. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Use the Service to harass, defraud, impersonate, or harm any other person
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service except where permitted by applicable law
  • Access or attempt to access parts of the Service not intended for you (e.g. other studios' data)
  • Interfere with or disrupt the Service, its servers, or its networks
  • Upload viruses, worms, or other malicious code
  • Scrape, index, or systematically extract data from the Service except through the APIs we provide
  • Resell or sublicense the Service without our prior written consent
  • Use the Service to process personal information of individuals under the age of 13 (or 16 where applicable) without parental consent
  • Use the Service to collect or store information you are not authorized to collect (e.g. protected health information subject to HIPAA unless you have executed a separate BAA with us — which we do not currently offer)

We may suspend or terminate your account if we believe you are violating these rules.

9. Third-party services

The Service integrates with third-party services, including Stripe (payments), Resend (email delivery), Twilio (SMS notifications), Supabase (database hosting), and Vercel (application hosting). Your use of the Service is also subject to those providers' terms of service and privacy policies, which we encourage you to review. We are not responsible for the acts or omissions of these third parties.

10. Intellectual property

All intellectual property rights in the Service — including software, design, trademarks, and content created by us — belong to Ritual or our licensors. No rights are granted to you except the limited right to use the Service in accordance with these Terms.

You may not use Ritual's trademarks, logos, or trade names without our prior written consent.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, Ritual disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and quiet enjoyment.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Any defects will be corrected
  • The Service will meet your specific requirements
  • Results obtained from the Service will be accurate or reliable

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, our disclaimers apply to the maximum extent permitted by law.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RITUAL AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or the Service is limited to the greater of:

  • (a) the amount you paid to Ritual in the twelve (12) months preceding the event giving rise to the claim, or
  • (b) one hundred Canadian dollars (CAD $100).

These limitations apply regardless of the legal theory — contract, tort, negligence, strict liability, or otherwise.

13. Indemnification

You agree to defend, indemnify, and hold harmless Ritual and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or the rights of any third party
  • Any content you upload, store, or transmit through the Service
  • As a Studio Operator, any dispute between you and your Studio Customers

14. Term and termination

14.1 Term

These Terms remain in effect while you use the Service.

14.2 Termination by you

You may stop using the Service at any time. Studio Operators can cancel their subscription and close their account from the dashboard or by emailing support@getritual.io. Studio Customers can delete their accounts through the embedded widget or by contacting their studio.

14.3 Termination by us

We may suspend or terminate your account and access to the Service if:

  • You violate these Terms
  • You fail to pay fees when due
  • Your use of the Service poses a security or legal risk to us or others
  • We are required to do so by law

We will use reasonable efforts to give you notice before termination where feasible.

14.4 Effect of termination

Upon termination:

  • Your right to use the Service ends immediately
  • We may delete your data in accordance with our Privacy Policy retention schedule
  • Sections that by their nature should survive termination (including Sections 7, 10, 11, 12, 13, 15, and 16) will survive

15. Governing law and dispute resolution

15.1 Governing law

These Terms are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

15.2 Jurisdiction

You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in Vancouver, British Columbia, and you consent to the personal jurisdiction of those courts.

15.3 Good-faith resolution

Before initiating formal legal proceedings, you agree to first contact us at support@getritual.io and attempt to resolve the dispute informally. Most disputes can be resolved by talking to us.

16. General provisions

16.1 Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Ritual regarding the Service and supersede any prior agreements.

16.2 Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the "Last updated" date at the top
  • Notify Studio Operators by email
  • Post a prominent notice in the dashboard

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16.3 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.4 No waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

16.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.6 Force majeure

Neither party is liable for failure to perform due to causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, or failures of third-party providers.

16.7 Relationship

Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship between you and Ritual.

16.8 Notices

We may send notices to you at the email address on file. You may send notices to us at support@getritual.io.

16.9 Language

These Terms are drafted in English. If a translated version is provided, the English version controls in the event of a conflict.
